1. Who We Are; Capacity
Omnia Capital Partners USA LLC, a Wyoming limited liability company, d/b/a Grad Capital (“Grad Capital”), is a commercial-finance broker, capital advisor, and technology platform operating in the United States as a division of Omnia Capital Partners. Grad Capital does not make loans, issue credit, fund advances, or extend credit. All financing transactions are made by independent third-party funding sources subject to their own underwriting, documentation, and approval. References to Omnia Capital Partners Ltd (Toronto) on the Services are for corporate-affiliation purposes and do not indicate that the Canadian affiliate originates U.S. financings.
2. No Offer; No Commitment; No Guarantee
Information on the Services, including the Capital Readiness Score, indicative capital ranges, matched product tiers, sample monthly payments, sample term structures, and illustrative case studies, is provided for general informational purposes only. None of it constitutes (a) an offer of credit, (b) a commitment to lend, (c) a pre-approval, (d) a guarantee of approval or amount, (e) a guarantee of any specific rate, term, fee, or other condition, or (f) a recommendation to enter into any specific transaction. Amounts, rates, fees, terms, and structures vary by funding source and applicant and are subject to underwriting, documentation, and final approval by the funding source.
3. Capital Readiness Score; Decision-Support Only
The Capital Readiness Score, scan results, tier matches, and similar tools are decision-support outputs generated from self-reported user inputs and limited additional inputs. They are not credit decisions, are not based on a hard credit pull, are not adverse-action determinations under the federal Fair Credit Reporting Act (“FCRA”) or the Equal Credit Opportunity Act (“ECOA”), and do not constitute a pre-approval, commitment, or offer of credit. A soft inquiry used solely for pre-qualification does not affect your credit score. A hard inquiry may be required before any final offer of financing is extended.
4. Compensation; Conflicts of Interest
Grad Capital is compensated by funding sources for referring or arranging funded transactions, and may also charge applicants a fee that is disclosed in writing prior to closing. The amount of compensation we receive may vary by funding source and product, which creates a potential conflict of interest in the product or funding source we may recommend. We undertake to recommend financing that we believe is suitable for the applicant’s stated objectives, but we do not provide investment, tax, accounting, or legal advice. Applicants are encouraged to consult independent advisors before entering into any financing.
5. Referral Partners; Non-Circumvention
Referral compensation is paid only on funded, business-purpose transactions under a written partner agreement that includes (a) non-circumvention and non-solicitation terms; (b) partner representations of lawful conduct and compliance with the Telephone Consumer Protection Act, anti-spam laws, and applicable commercial-finance regulations; (c) prohibition of misleading marketing and unauthorized use of the Grad Capital marks; and (d) an immediate-termination right upon any regulatory action against the partner or any breach of the partner agreement. Partners are independent contractors and not agents of Grad Capital.
6. Illustrative Figures
Capital structures, payment amounts, score outputs, “graduation ladder” examples, and similar figures shown on the Services are illustrative, not actual client results, and should not be relied upon as representations of expected outcomes. Past performance of any funding source or product is not indicative of future results.
7. State-Specific Commercial-Financing Disclosures
Where required by state law, specific commercial-financing disclosures are provided at the time a specific offer of financing is extended, in the form and manner required by the applicable state regulator. These regimes include, without limitation:
- California — Commercial Financing Disclosure Law: Cal. Fin. Code § 22800 et seq. and implementing regulations under 10 CCR § 900 et seq., and the additional disclosures required by SB 362 (effective January 1, 2026).
- New York — Commercial Financing Disclosure Law: N.Y. Fin. Serv. Law § 801 et seq. and implementing regulations at 23 NYCRR Part 600.
- Utah — Commercial Financing Registration and Disclosure Act: Utah Code § 7-27-101 et seq.
- Virginia — Sales-Based Financing Disclosure and Registration: Va. Code § 6.2-2228 et seq.
- Connecticut — Commercial Financing Disclosure: Conn. Gen. Stat. § 36a-861 et seq.
- Georgia — Commercial Financing Disclosure Act: O.C.G.A. § 7-7-1 et seq.
- Florida — Commercial Financing Disclosure Law: Fla. Stat. § 559.9611 et seq.
- Kansas — Commercial Financing Disclosure Act: K.S.A. § 16a-3-503 et seq.
- Missouri, Maryland, and other jurisdictions: applicable analogs.

8. Licensing; NMLS
Grad Capital is not a residential-mortgage lender, broker, or originator and does not require Nationwide Multistate Licensing System (“NMLS”) registration for residential-mortgage activity. State-specific commercial-financing-broker license or registration numbers (where applicable) are available upon request.
9. ECOA / Anti-Discrimination
The federal Equal Credit Opportunity Act and Regulation B prohibit creditors from discriminating against credit applicants on the basis of race, color, religion, national origin, sex, marital status, age (provided the applicant has the capacity to enter into a binding contract), receipt of income from any public-assistance program, or the good-faith exercise of any right under the Consumer Credit Protection Act. The federal agency responsible for compliance by funding sources with whom we work varies by source; contact information will be provided with any adverse-action notice issued by a funding source. Grad Capital does not make credit decisions.
10. FCRA Disclosures
Where you authorize us or a funding source to obtain a consumer report, that authorization is made for the permissible purposes set forth in 15 U.S.C. § 1681b. If a funding source takes adverse action based in whole or in part on information contained in a consumer report, the funding source is responsible for providing the adverse-action notice required by the FCRA and ECOA.
11. OFAC; Sanctions; Anti-Money-Laundering
Grad Capital screens applicants and beneficial owners against U.S. Treasury Office of Foreign Assets Control (“OFAC”) lists and other sanctions and adverse-media databases. We may decline to do business with, or terminate any engagement with, any person or entity that we determine, in our discretion, may violate or cause us to violate applicable sanctions, anti-money-laundering, or counter-terrorist-financing laws.
12. Trademarks
“Grad Capital,” “Capital Readiness Score,” “Capital Readiness Scan,” “Graduation Funding,” and related word-marks, logos, and slogans are trademarks of Omnia Capital Partners USA LLC. All other trademarks are the property of their respective owners. The use of third-party trademarks does not imply endorsement, sponsorship, or affiliation.
13. Forward-Looking Statements
Statements on the Services that are not historical facts may be “forward-looking statements” that involve risks and uncertainties. Actual outcomes may differ materially. Grad Capital undertakes no obligation to update any forward-looking statement.
14. AI Tools
The Services may include AI-generated content (including from large-language-model providers and image- and text-generation tools). AI-generated content may be inaccurate, incomplete, or out of date and is provided for informational purposes only. Do not rely on AI-generated content for legal, tax, accounting, or financial advice; consult a qualified professional for advice specific to your situation.
